Participation constitutes each entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to PartsVu CREW (the “Contest”). Winning a prize is contingent upon satisfying all requirements set forth in these Official Rules.

1. PROGRAM DESCRIPTION AND CONTEST PERIOD
PartsVu CREW (the “Contest”) is a recurring, skill-based, user-generated content contest sponsored by Central Assets & Operations LLC, doing business as PartsVu, including its affiliates and subsidiaries, located at 6275 Lanier Islands Pkwy, Buford, GA 30518 (the “Sponsor”). The Contest runs as determined and announced by Sponsor. Contest dates are noted in promotional material, as well as the PartsVu CREW landing page. Sponsor’s computer, as configured by Sponsor, is the official time-keeping device for the Contest. Each Cycle is a separate contest governed by these Official Rules, together with any additional Cycle-specific requirements, prize descriptions, and submission themes published by Sponsor in the promotional materials for that Cycle and on the PartsVu CREW landing page located at http://www.partsvu.com/pages/partsvu-crew-giveaway (the “Landing Page”). In the event of a conflict between these Official Rules and any Cycle-specific promotional material, these Official Rules control, except as to the specific prize, theme, or submission requirements stated for that Cycle. Sponsor is responsible for the collection, submission, and processing of entries and the overall administration of the Contest. Entrants should look solely to Sponsor with any questions, comments, or problems related to the Contest. Sponsor may be reached by email at support@partsvu.com.

2. ELIGIBILITY
The Contest is open only to legal residents of the fifty (50) United States, the District of Columbia, and the United States territories, who have reached the age of majority in their state or territory of residence and who are at least eighteen (18) years of age as of the first day of the Cycle in which they enter. The Released Parties (as defined below) are not eligible to enter or win. The “Released Parties” are the Sponsor and its parents, affiliates, subsidiaries, distributors, retailers, sales representatives, and advertising and promotional agencies, and each of their respective officers, directors, members, and employees, together with the immediate family members and household members of each such individual. “Immediate family members” means parents, stepparents, legal guardians, children, stepchildren, siblings, stepsiblings, and spouses. “Household members” means individuals who share the same residence for at least three (3) months during the twelve (12) month period preceding the applicable Cycle. The Contest is subject to all applicable federal, state, local, and municipal laws and regulations and is void where prohibited or restricted by law.

3. HOW TO ENTER
During each Cycle, an eligible entrant may enter by submitting, through the official submission form on the Landing Page, one (1) original photograph or video that satisfies the entry requirements described below, together with the entrant’s name and email address. Name and email address are the only personal information required to enter. No purchase or payment of any kind is necessary to enter or win. Limit one (1) entry per person and per email address per Cycle. Entrants may not use multiple identities, email addresses, or accounts to submit more than the permitted number of entries, and any entrant found to be using multiple identities or email addresses, or otherwise attempting to circumvent this limit, may be disqualified. All entries must be received by 11:59 PM ET on the last day of the applicable Cycle. Entries submitted after that time will be held, at Sponsor’s discretion, for the following Cycle or disqualified. All entries become the property of Sponsor and will not be acknowledged or returned. Proof of submission does not constitute proof of receipt. Sponsor is not responsible for entries that are late, lost, misdirected, incomplete, corrupted, or not received for any reason.

4. ENTRY REQUIREMENTS AND CONTENT STANDARDS
To be eligible, a submission must satisfy any theme or submission requirements stated in the promotional materials or on the PartsVu Crew landing page for the applicable Cycle. Each submission must be the original work of the entrant, created solely by the entrant, and must not have previously been awarded a prize in any other contest or promotion. A submission will be disqualified, in Sponsor’s sole discretion, if it contains any content that (a) is inappropriate, indecent, obscene, hateful, defamatory, harassing, or disparaging of the Sponsor or any other person or entity, (b) depicts or promotes unsafe, illegal, or dangerous conduct, (c) violates or infringes the intellectual property, privacy, publicity, or other rights of any third party, (d) contains third-party trademarks, logos, or brand identifiers other than those of the Sponsor, or the name, likeness, voice, or identifying information of any person other than the entrant without that person’s consent, (e) depicts any individual under the age of eighteen (18), unless that individual’s parent or legal guardian has provided prior written consent and the entrant supplies evidence of that consent upon request, or (f) otherwise fails to comply with these Official Rules. Sponsor reserves the right, but not the obligation, to review, screen, and remove any submission at any time and for any reason, without liability.

5. ENTRANT REPRESENTATIONS AND WARRANTIES
By submitting an entry, each entrant represents and warrants that (a) the entrant is the sole and exclusive owner of all rights in the submission, or otherwise has all rights necessary to submit the entry and to grant the license described in these Official Rules, (b) the submission is original to the entrant and does not and will not infringe or violate the intellectual property, privacy, publicity, contractual, or other rights of any third party, (c) the entrant has obtained the prior written consent of every identifiable individual who appears in the submission and, for any such individual who is a minor, the prior written consent of that individual’s parent or legal guardian, (d) the submission does not contain any material that is unlawful or contrary to the laws or regulations of any jurisdiction where the submission was created, and (e) the use of the submission by Sponsor as described in these Official Rules will not require the payment of any fee or royalty to any third party. Sponsor reserves the right to require an entrant to provide written documentation substantiating any of the foregoing, and to disqualify any entry for which such documentation is not provided upon request.

6. RIGHTS GRANTED
By submitting an entry, each entrant, whether or not selected as a winner, grants to Sponsor and its designees a worldwide, royalty-free, fully paid-up, perpetual, irrevocable, non-exclusive, sublicensable, and transferable license to use, reproduce, edit, crop, modify, adapt, create derivative works from, distribute, publish, transmit, and publicly display and perform the submission, in whole or in part, alone or in combination with other materials, together with the entrant’s name and any social media handle provided, in any and all media now known or later developed, throughout the world, in connection with PartsVu CREW and the Sponsor’s broader marketing, advertising, and promotional activities. Sponsor’s marketing channels include, without limitation, its website, email and text-message communications, social media, paid advertising, and printed materials. This license survives the end of any individual Cycle and is granted without any additional attribution, notice, review, approval, or compensation to the entrant or to the entrant’s successors or assigns, except where prohibited by law. Entrants retain ownership of their submitted content, and Sponsor’s rights under this section are limited to the license described in this section and do not transfer ownership of the content itself. To the fullest extent permitted by law, each entrant waives any moral rights or rights of droit moral in the submission.

7. INDEMNIFICATION
To the fullest extent permitted by law, each entrant agrees to indemnify, defend, and hold harmless the Sponsor and the other Released Parties from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to the entrant’s submission, the entrant’s breach or alleged breach of these Official Rules, or the exercise by Sponsor of the rights granted by the entrant under these Official Rules.

8. WINNER SELECTION AND JUDGING
PartsVu CREW is a contest of skill. For each Cycle, two (2) winners will be selected from among all eligible entries received during that Cycle by a panel of qualified judges designated by Sponsor. Entries will be judged on creativity and originality, overall quality and production of the submission, and relevance / adherence to the stated Cycle theme and requirement. Judging takes place within approximately two (2) weeks following the close of the applicable Cycle. In the event of a tie, the tied entry with the higher score in creativity and originality will be selected. The decisions of the judges and of Sponsor are final and binding in all respects. Odds of winning depend on the number and quality of eligible entries received during the applicable Cycle. Sponsor reserves the right, in its sole discretion, to select fewer than two (2) winners, or no winner, in any Cycle in which the number or quality of eligible entries does not, in Sponsor’s reasonable judgment, meet a reasonable standard of quality, creativity, and compliance with these Official Rules.

9. WINNER NOTIFICATION AND PRIZE CLAIM
Potential winners will be notified using the email address associated with the entry, and winners may also be announced on Sponsor’s social media channels, which may include Instagram, Facebook, TikTok, and/or YouTube, within approximately two (2) weeks following the close of the applicable Cycle. Each potential winner must respond to the notification and accept the prize as directed by Sponsor within five (5) business days after the date the first notification is sent. Depending on the value of the prize awarded, a potential winner may be required to complete, sign, and return an Affidavit of Eligibility, a Liability and Publicity Release, and, where required, an IRS Form W-9 (collectively, the “Prize Claim Documents”), within five (5) business days after the Prize Claim Documents are sent. If a potential winner cannot be reached or does not respond within the applicable period, fails to return properly completed Prize Claim Documents within the applicable period, is found to be ineligible or not in compliance with these Official Rules, or declines the prize, the prize may be forfeited and an alternate winner may be selected from among the remaining eligible entries in accordance with these Official Rules. By accepting a prize, each winner confirms compliance with these Official Rules. Sponsor is not responsible for any delay or failure to receive notification for any reason, including an incorrect or inactive email address, technical difficulties, or the potential winner’s failure to monitor the relevant account.

10. PRIZES
For each Cycle, two (2) prizes will be awarded, one (1) to each of the two (2) winners. Prizes consist of PartsVu physical product and/or coupon codes redeemable on PartsVu.com, with a total approximate retail value (“ARV”) for both prizes combined of approximately five hundred dollars ($500.00). The specific prize, or combination of physical product and coupon code, awarded in a given Cycle will be described in the corresponding promotional materials and on the Landing Page. No cash, cash equivalent, or other monetary payment will be provided in lieu of either prize, except that Sponsor may, in its sole discretion, substitute a prize with another prize of equal or greater value if a listed prize becomes unavailable for any reason. Coupon codes are subject to any terms, conditions, and expiration dates stated at the time of award, and are redeemable only on PartsVu.com. Prizes are non-transferable and non-refundable and must be accepted as awarded. All prizes are awarded “as is” and without warranty of any kind, express or implied, and the ARV represents Sponsor’s good-faith determination of value, which is final and binding. If the actual value of a prize is less than the stated ARV, the difference will not be awarded. All federal, state, local, and other taxes, and any other costs and expenses associated with the acceptance and use of a prize, are the sole responsibility of the winner. If the value of any prize awarded to a single winner is six hundred dollars ($600) or more, Sponsor will report the value of the prize to the Internal Revenue Service, will issue the winner an IRS Form 1099, and will require the winner to provide a valid taxpayer identification number on an IRS Form W-9 before the prize is awarded. Failure to comply with these Official Rules will result in forfeiture of the prize.

11. PRIVACY
Any personal information supplied by an entrant in connection with the Contest is collected by Sponsor and is subject to Sponsor’s privacy policy, available at https://partsvu.com/pages/privacy-policy. By entering, each entrant acknowledges that the entrant’s name, email address, and submitted content will be collected, stored, and used by Sponsor and its service providers for purposes of administering the Contest, communicating with entrants, awarding and fulfilling prizes, and the marketing and promotional uses described in the Rights Granted section above, and that the entrant’s name and city and state of residence may appear in a publicly available winners list. To the extent any data protection law entitles an individual to information regarding a financial incentive, or a price or service difference, Sponsor’s calculation of the value of an individual’s personal information is based on a practical and reasonable method of calculation applied in good faith, and any such incentive is reasonably related to the value of the individual’s personal information to the Sponsor.

12. RELEASE AND LIMITATION OF LIABILITY
By entering, each entrant agrees to release and hold harmless the Sponsor and the other Released Parties from and against any and all liability whatsoever for any injuries, losses, or damages of any kind, including death and property damage, arising in whole or in part, directly or indirectly, from the entrant’s participation in the Contest or from the acceptance, receipt, possession, use, or misuse of any prize. The Released Parties assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmission, (b) any unauthorized access to, or theft, destruction, or alteration of, entries at any point in the operation of the Contest, (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, or delay in operation or transmission, or any communications failure, (d) the inaccessibility or unavailability of any network, server, provider, website, or software, including any injury or damage to any entrant’s or any other person’s device related to or resulting from participation in the Contest or the downloading of any related materials, or (e) any printing, typographical, administrative, or technological error in any materials associated with the Contest. Nothing in these Official Rules limits any liability that cannot be excluded or limited under applicable law.

13. GENERAL CONDITIONS
Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest, to be acting in violation of these Official Rules, or to be acting in a disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. If for any reason the Contest is not capable of running as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, or any other cause beyond the reasonable control of Sponsor that corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Contest, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Contest in whole or in part, and to select winners from among all eligible, non-suspect entries received prior to the action taken, or otherwise in a manner deemed fair and equitable by Sponsor. In the event of a dispute over the identity of an entrant based on an email address, the entry will be deemed submitted by the authorized account holder of the email address provided at the time of entry. An “authorized account holder” is the natural person assigned an email address by the internet access provider, service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. Sponsor’s failure to enforce any term of these Official Rules does not constitute a waiver of that term. If any provision of these Official Rules is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Official Rules, together with any Cycle-specific requirements published by Sponsor, constitute the entire agreement between each entrant and Sponsor with respect to the Contest.

14. DISPUTES, GOVERNING LAW, ARBITRATION, AND CLASS ACTION WAIVER
These Official Rules and the Contest are governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any choice-of-law or conflict-of-law rules that would cause the application of the laws of any other jurisdiction. Except where prohibited, each entrant agrees that any and all disputes, claims, or causes of action arising out of or connected with the Contest, or any prize awarded, will be resolved individually, without resort to any form of class or representative action, and, at Sponsor’s election, either (a) exclusively and finally by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration to take place in Atlanta, Georgia, or (b) exclusively by the state or federal courts located in Fulton County, Georgia, to whose jurisdiction and venue each entrant irrevocably consents. With respect to any such dispute, each entrant acknowledges and agrees to the following. Any claim must be brought in the entrant’s individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The entrant is giving up the right to a trial by jury. Any claim must be filed within one (1) year after the claim arose, or it is forever barred. Under no circumstances will an entrant be permitted to obtain, and each entrant waives all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than the entrant’s actual out-of-pocket expenses incurred in entering the Contest, and each entrant further waives all rights to have damages multiplied or otherwise increased.

15. SOCIAL MEDIA PLATFORM DISCLAIMER
The Contest is in no way sponsored, endorsed, or administered by, or associated with, Instagram, Facebook, TikTok, YouTube, or any other Social Media Platform. Each entrant understands that the entrant is providing information to the Sponsor, and not to any Social Media Platform, by participating in the Contest, and that Sponsor will use that information in accordance with its privacy policy available at https://partsvu.com/pages/privacy-policy. To the extent an entrant interacts with the Contest through any Social Media Platform, the entrant acknowledges that the entrant is also subject to that platform’s terms of service and privacy policy, and, to the fullest extent permitted by law, the entrant agrees to release and forever discharge each applicable Social Media Platform, and its parents, affiliates, and subsidiaries, and each of their respective officers, directors, employees, agents, successors, and assigns, from any and all liability arising out of or in connection with the Contest or the entrant’s entry, under any theory of liability.

16. WINNER LIST AND REQUESTS FOR OFFICIAL RULES
To obtain a copy of the winners list for any Cycle, or a copy of these Official Rules, an individual may send a request, together with a stamped, self-addressed envelope, to PartsVu CREW, Attn. Winners List, c/o Central Assets & Operations LLC, DBA PartsVu, 6275 Lanier Islands Pkwy, Buford, GA 30518. Requests for the names of the winners of a Cycle must be received no later than one (1) month after the close of that Cycle.

17. SPONSOR AND ADMINISTRATOR
The Sponsor of the Contest is Central Assets & Operations LLC, DBA PartsVu, 6275 Lanier Islands Pkwy, Buford, GA 30518. The Administrator of the Contest is Central Assets & Operations LLC, DBA PartsVu, 6275 Lanier Islands Pkwy, Buford, GA 30518.
